TERMS OF SERVICE (TOS) - PHENIXSPOT

1. SERVICE OVERVIEW
PhenixSpot is a SaaS (Software as a Service) platform that enables:
- Router management (including MikroTik)
- Hotspot and PPPoE management
- VPN account management
- Online voucher generation and sales
- Payment and withdrawal management through an electronic wallet
- Network service supervision and billing
The service is mainly intended for:
- Internet Service Providers (ISPs)
- Cybercafes
- WiFi zone managers
- Connectivity resellers
2. DEFINITIONS
- User: any natural or legal person with a PhenixSpot account.
- End customer: final user purchasing a voucher or using network access.
- Wallet: internal electronic wallet linked to the User account.
- Voucher: access code generated through the platform.
- Subscription: monthly or yearly package granting access to the service.
- Payment provider: third-party service (e.g., Money Fusion).
3. ACCEPTANCE OF THE TERMS
Registering on PhenixSpot implies full and unconditional acceptance of these Terms of Service.
The User acknowledges:
- Having the legal capacity to use the service.
- Being responsible for all activities carried out through their account.
4. SUBSCRIPTION TERMS
4.1 Packages
PhenixSpot offers several subscription packages:
- Monthly
- Quarterly
- Yearly
- Custom offer (on quotation)
Prices are displayed on the platform and may be revised.
4.2 Activation
The subscription is activated after:
- Payment validation
- Automatic system confirmation
4.3 Renewal
Subscriptions may be renewed manually or automatically.
In case of non-payment, access to the service may be suspended.
4.4 Suspension
In case of non-renewal:
- Access suspension
- Data retention for a defined period (e.g., 30 days)
- Possible deletion after the retention period
5. ONLINE VOUCHER SALES
5.1 Principle
The User may sell vouchers through their public page.
Payments are credited to their PhenixSpot Wallet.
5.2 Transaction fees
PhenixSpot applies:
These fees include:
- Technical infrastructure
- Hosting
- Maintenance
- Payment security
Fees are automatically deducted before wallet crediting.
5.3 Liability
PhenixSpot:
- Provides the technical tool
- Does not guarantee turnover/revenue
- Is not responsible for local Internet outages
6. WALLET AND WITHDRAWALS
6.1 Operation
Sales revenue is stored in the internal wallet.
6.2 Withdrawal fees
Withdrawals are subject to:
- Payment provider fee: 3%
- PhenixSpot commission: 1%
- Total charged: 4%
Fees may be adjusted.
6.3 Processing time
Withdrawals are processed:
- Automatically, or
- Under administrative validation
PhenixSpot may delay a withdrawal in case of suspected fraud.
7. USER OBLIGATIONS
The User undertakes to:
- Comply with local regulations (telecommunications, cybercrime)
- Not use the platform for illegal purposes
- Ensure the security of their credentials
- Declare network activities when required by law
8. LIABILITY
PhenixSpot cannot be held liable for:
- Customer Internet interruptions
- Poor network configuration
- Fraudulent acts by a user
- Indirect financial losses
Liability is limited to the amount paid over the last 3 months.
9. SUSPENSION AND TERMINATION
PhenixSpot may suspend an account in case of:
- Fraudulent activity
- Non-payment
- Violation of these Terms
- Abusive use of servers
Without prior notice in case of serious fraud.
10. ACCOUNT CLOSURE OR DELETION
10.1 Voluntary request
The User may request account deletion.
Conditions:
- No negative balance
- No withdrawal in progress
10.2 Consequences
- Permanent deletion of data
- Loss of unused vouchers
- Wallet settled before deletion
10.3 Automatic deletion
After 60 days of inactivity + expired subscription.
11. DATA PROTECTION
PhenixSpot:
- Respects data confidentiality
- Does not resell data
- Uses encryption and security measures
The User remains responsible for data collected from their end customers.
12. INTELLECTUAL PROPERTY
All PhenixSpot elements are protected:
- Source code
- Interface
- Branding
- API
Any reproduction is prohibited.
13. FORCE MAJEURE
PhenixSpot cannot be held liable in case of:
- Major server outage
- Natural disaster
- Massive cyberattack
- Government decision
14. MODIFICATION OF THE TERMS
PhenixSpot may modify these Terms.
Users will be notified.
Continued use constitutes acceptance.
15. APPLICABLE LAW
These Terms are governed by:
- Applicable law in Côte d'Ivoire
- OHADA rules
Any dispute will be submitted to the competent courts.
